1. Acceptance of Terms

By accessing or using Overture (the “Service”), you agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree to these Terms, you may not use the Service.

These Terms form a binding agreement between you and the operator of the Service. We may update these Terms from time to time; continued use after an update constitutes acceptance of the updated Terms.

2. Description of Service

Overture is a pre-CRM prospect tracking tool that helps users manage relationships and follow-ups prior to formal sales engagement. The Service is provided on an as-is, as-available basis.

3. Accounts & Eligibility

You must create an account to use most features of the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You must be at least the age of majority in your jurisdiction to use the Service. You agree to provide accurate information when registering and to keep it current.

4. Acceptable Use

You agree not to misuse the Service. Prohibited conduct includes, but is not limited to: attempting to gain unauthorized access; interfering with the Service’s operation; uploading malicious code; harvesting data about other users; or using the Service to violate any applicable law.

We reserve the right to suspend or terminate accounts that violate these Terms or that pose a risk to the Service or its users.

5. User Content & Data Ownership

You retain ownership of the data you submit to the Service, including prospect information and notes (“User Content”).

You grant us a limited, non-exclusive license to host, store, and process User Content solely for the purpose of operating and improving the Service.

You are solely responsible for the legality of any User Content you upload, including ensuring that you have any necessary rights or consents to store information about third parties.

6. Intellectual Property

The Service, including its software, design, and branding, is owned by the operator and is protected by intellectual property laws. Except for the limited rights granted to use the Service, no rights are transferred to you.

7. Third-Party Services

The Service relies on third-party providers, including authentication and infrastructure providers. Your use of the Service is also subject to the terms and policies of those providers.

We are not responsible for the availability, accuracy, or content of third-party services.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that data will not be lost.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at our discretion, with or without notice, for any reason, including violation of these Terms.

Upon termination, the provisions of these Terms that by their nature should survive will survive, including ownership, disclaimers, and limitations of liability.

11. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the effective date above. Material changes will be communicated through the Service or by other reasonable means.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which the operator is established, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts of that jurisdiction, unless otherwise required by applicable law.
